These Terms & Conditions (“Terms”) set out the basis on which GCG L.L.C-FZ (“GCG Structuring”, “we”, “us”, “our”) provides its services to clients. By accessing or engaging our services, you (“Client”, “you”, “your”) confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must refrain from using our services.

GCG Structuring is a UAE limited liability company, registered under licence no. 2201658.01 with its registered office at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, UAE and its principal place of business at Al Thuraya Tower 1, Offices 205–206, Dubai Media City, Dubai, UAE.

1. Services

1.1 GCG Structuring specialises in providing corporate services and professional advisory solutions. Our services include, but are not limited to:

  • Company formation and annual administration
  • Banking advisory and application support
  • Accounting and bookkeeping
  • Corporate tax registration, advisory, and filing
  • VAT registration, compliance, and quarterly submissions
  • Visa and labour services
  • Corporate governance and secretarial support
  • Advisory on structuring, compliance, and related matters

1.2 The exact scope of services to be provided to the Client will be confirmed in writing at the time of engagement. Any additional or optional services may be agreed separately and may incur further charges as per our pricing list.

2. Fees & Payment

2.1 Fees for our services are detailed in our official Services & Pricing List, which forms an integral reference to these Terms.

2.2 All invoices issued by GCG Structuring are payable within the timeframe stated on the invoice. Unless otherwise agreed in writing, payment must be settled in advance before commencement of services.

2.3 All fees are quoted exclusive of VAT and any other applicable taxes or levies unless expressly stated otherwise.

2.4 The Client must ensure that payments are made in full, free from deductions, withholding taxes, or bank transfer charges. Any shortfall in payment remains the Client’s responsibility.

2.5 Late or non-payment may result in suspension or termination of services until full settlement is made.

3. Client Responsibilities

The Client acknowledges and agrees to:

  • Provide all information, documentation, and supporting materials requested by GCG Structuring accurately and promptly.
  • Ensure compliance with all applicable laws and regulations in the UAE and any other relevant jurisdictions.
  • Accept that delays, penalties, or additional costs resulting from incomplete, inaccurate, or late submission of documents are solely the responsibility of the Client.
  • Indemnify and hold harmless GCG Structuring against any claims, liabilities, or penalties resulting from non-compliance, misrepresentation, or regulatory changes beyond our control.
  • Maintain direct responsibility for its own business activities, financial decisions, and dealings with third parties, even when facilitated through GCG Structuring.

4. Confidentiality

4.1 GCG Structuring treats all information shared by the Client with strict confidentiality. Such information will not be disclosed to third parties except:

  • Where disclosure is required by applicable law, regulation, or competent authority;
  • Where disclosure is necessary to properly deliver the agreed services (e.g., filing with government authorities);
  • Where the Client has given explicit written consent.

4.2 These confidentiality obligations will survive termination of the engagement and remain in force indefinitely.

5. Independent Relationship

GCG Structuring acts as an independent contractor when providing services. Nothing in these Terms or in any engagement shall be interpreted as creating an employment relationship, partnership, joint venture, or agency between the parties. Neither party has authority to bind the other in any way unless expressly agreed in writing.

6. Limitation of Liability

6.1 GCG Structuring undertakes to perform services with reasonable skill, diligence, and care in accordance with prevailing professional standards.

6.2 We shall not be liable for any indirect, incidental, special, or consequential losses, including but not limited to loss of profits, penalties, reputational damage, or delays, arising out of the provision of services.

6.3 GCG Structuring shall not be liable for:

  • Any acts, changes, or requirements imposed by UAE or foreign regulatory, banking, or governmental authorities;
  • The Client’s failure to provide accurate or timely information;
  • Events outside our reasonable control (force majeure).

6.4 Our total liability under these Terms shall in all cases be limited to the total fees paid by the Client for the specific service giving rise to the claim.

7. Term & Termination

7.1 Services may be provided on a fixed-term or ongoing basis, as specified in the Client engagement.

7.2 Either party may terminate the services by providing at least 30 days’ written notice.

7.3 In addition, either party may terminate immediately in the event of a material breach of these Terms, if such breach is not remedied within thirty (30) days of written notice.

7.4 Termination does not release either party from obligations that accrued prior to termination, including outstanding payments.

8. Use of Website

8.1 By accessing or using our website, you agree to use it only for lawful purposes and in a manner consistent with these Terms.

8.2 You may not use our website in any way that could cause damage to the site, impair availability or accessibility, or engage in fraudulent, harmful, or illegal activity.

8.3 All content on this website, including text, graphics, design, logos, and other materials, is the property of GCG Structuring and is protected by intellectual property laws. You may not copy, reproduce, or distribute any part of this website without prior written consent.

8.4 We may update, modify, or suspend website content or access at any time without notice. We do not guarantee uninterrupted access, accuracy, or that the website will be error-free.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), UAE. Any dispute, disagreement, or claim shall be subject to the exclusive jurisdiction of the DIFC Courts.

10. Amendments

We may update, modify, or amend these Terms from time to time in order to reflect changes in law, regulation, or company policy. Updates will be published on this website and will take immediate effect unless stated otherwise. Clients and users are encouraged to review this page periodically.
