For a passive holding company, compare an ADGM special purpose vehicle with a DIFC Prescribed Company. For a headquarters that employs staff or provides group services, compare appropriately licensed operating entities. The choice turns on the assets, permitted activities, governance and cross-border tax position.
An ADGM special purpose vehicle, or SPV, and a DIFC Prescribed Company are passive holding vehicles. A parent company that owns shares has a different role from an employer or service provider. Decide which functions the group needs before choosing the jurisdiction.
Which holding route fits the group
Compare the vehicle before the jurisdiction
Both passive routes exclude operational business and staff. DIFC also requires a Corporate Service Provider unless an exemption applies. The applicant’s governance and administration arrangements therefore belong in the comparison from the start. (ADGM SPV guidance; DIFC Prescribed Company guidance)
Holding international subsidiaries
A group may place a UAE parent above foreign operating companies. The parent holds the shares. The subsidiaries retain their local licences, employees and customer contracts.
Before transferring shares, review shareholder agreements and lender consents. Check the tax cost in the country of each subsidiary. A UAE holding layer does not remove foreign withholding tax, capital-gains tax or reporting duties.
Document where the directors make decisions and why the UAE parent is needed. For example, one parent may make acquisitions easier to govern. That commercial purpose must be considered alongside tax residence, beneficial ownership and any treaty conditions.

Regional headquarters need an operating plan
A group that needs a finance director, commercial team or shared-services staff has a different requirement from a passive shareholder. Identify who employs the staff and which entity invoices subsidiaries for services.
An operating company may provide permitted headquarters functions while a separate vehicle holds investments. Another group may use one appropriately licensed operating entity for both permitted functions. Additional entities add administration, so use them only where the business and legal analysis justify them.
Before a UAE entity charges management fees, put the services, pricing and responsibilities in written agreements. A service fee should describe actual licensed work. Receiving dividends as a shareholder is a different function.
Family groups need continuity as well as ownership
A holding company can consolidate family-business shares. It does not, by itself, settle who controls those shares after a shareholder dies or loses capacity.
A family may consider a trust or foundation above a holding company. The family must assess the governing documents, decision makers and asset transfers. A family-office function may support reporting and administration, subject to its permitted activities. Avoid adding a family-office entity where a simpler administration arrangement meets the need.
Investment and intellectual-property structures need separate tests
Holding a group's own investments differs from managing money for other people. Review the regulatory boundary before the company offers investment management, advice, custody or fundraising services.
For intellectual property, identify the legal owner, where development takes place and which entity receives royalties. Qualifying intellectual property has a specific tax definition. Marketing-related assets such as trademarks fall outside that definition under Cabinet Decision 100 of 2023. (Cabinet Decision 100 of 2023, Article 1)
Tax and audit depend on the actual income
The tax review starts with separate income streams: dividends, share-disposal gains, interest, royalties and service fees. An exemption for one stream does not establish the treatment of the others. A Qualifying Free Zone Person, or QFZP, is an entity that satisfies the federal regime’s conditions, not simply any company with a free-zone licence.
Review substance, transfer pricing, qualifying income and audited financial statements against the selected tax treatment. Company-registration rules and federal corporate-tax requirements can impose different obligations. Keep both in the annual compliance plan. (Ministerial Decision 229 of 2025, Article 5)
Historical Economic Substance Regulations obligations also need care. ADGM confirms that ESR ceased to apply to financial years ending after 31 December 2022. Earlier periods can still require attention. Current corporate-tax substance conditions remain a separate question. (ADGM economic substance guidance)
Neither centre may be the best fit
Consider a mainland or another free-zone entity if the group mainly needs an operating licence, local premises or sector-specific permissions. Retaining an existing foreign parent may also be preferable where a transfer creates tax costs without a clear business benefit.
Compare the full structure over its expected life. Include acquisitions, financing and eventual disposal. Use DIFC formation costs for the budgeting framework and DIFC vs ADGM for the broader business comparison.
Questions founders ask
Can the holding company open a UAE bank account?
It can apply to banks that accept its profile. The bank will assess ownership, asset origin and expected payments. A holding vehicle may need a different account profile from an operating business. Approval remains the bank's decision.
Is ADGM or DIFC better for foreign subsidiaries?
Neither ADGM nor DIFC is universally better for foreign subsidiaries. A passive shareholding vehicle may fit a parent receiving investment income. A group that needs staff, management services or a regional headquarters should compare operating licences instead. Foreign transfer taxes and lender consents can rule out a proposed move.
Can a passive vehicle invoice group companies?
Do not assume it can provide operational services. Confirm the licence scope and the nature of each payment. A dividend, loan repayment and service fee each require different supporting records.
Does a holding structure protect the whole group from claims?
Separate entities can help organise liabilities. Guarantees, security, insolvency rules and improper conduct can affect that separation. Review the actual contracts and asset transfers before relying on it.
