Choose a UAE holding structure by the assets it must own, the authority its directors need and the activities it must perform. A mainland entity can suit a group with local operating requirements. A general free-zone company can suit permitted holding activities. DIFC can suit owners who need its legal and governance framework. An offshore registry can suit permitted asset-holding arrangements without a local operating licence. None of these labels guarantees zero tax, treaty relief or banking approval. (U1, U2, D1, D2)
Who this applies to: Owners comparing jurisdictions before they incorporate a parent company or reorganise a group.
What is the practical difference?
DIFC is a financial free zone. This comparison treats it separately because its company rules and legal framework differ from those of general commercial free zones.
| Decision variable | Mainland | General free zone | DIFC | Offshore registry |
|---|---|---|---|---|
| Main purpose to test | Local group ownership and permitted operations | Permitted holding and business activities | Holding with DIFC governance and legal framework | Permitted asset or international ownership arrangement |
| Local trading | Subject to the licensed activity | Check external operating permissions | Check licence and relevant permissions | Do not treat registration as an operating licence |
| Governance | Applicable federal and emirate rules | Selected registry’s rules | DIFC company rules and courts | Selected registry’s rules |
| Property | Verify registry and asset eligibility | Verify registry and asset eligibility | Verify registry and asset eligibility | Verify registry and asset eligibility |
| Tax | Assess exemption and standard-regime rules | Assess QFZP and exemption rules | Assess QFZP and exemption rules | Determine actual tax status; no blanket offshore exemption |
| Banking | Bank decides from the evidence | Bank decides from the evidence | Bank decides from the evidence | Bank decides from the evidence |
Compare the complete structure. A low incorporation fee can leave an owner with unsuitable transfer restrictions or administration costs.
When does mainland make sense?
Consider mainland when the entity needs permitted local activities or when a subsidiary, lender or asset registry requires that form. A holding activity does not automatically permit unrelated trading or consulting.
Check foreign ownership for the exact activity and legal form. Many activities allow full foreign ownership, but exceptions and sector approvals remain. Do not select mainland on an assumption that every activity requires a local shareholder or that every government tender accepts every mainland company. (U2, L1)
When does a general free zone make sense?
Consider a general free zone when its permitted activities, governance and premises rules fit the proposed assets and business model. Confirm that the location qualifies as a Free Zone for corporate-tax purposes. A marketing description is not sufficient evidence.
Assess the expected income before relying on QFZP treatment. A mainland customer does not make every transaction non-qualifying, and a foreign customer does not make every transaction qualifying. Activity, customer status and the special income rules matter. (U4, U5)
How do you set up a DIFC holding company?
First distinguish an ordinary DIFC company from a Prescribed Company. Confirm the current Prescribed Company requirements and permitted purpose under the latest regulations. Do not use an earlier eligibility checklist or treat the route as a substitute for an operating company. (D1)
Prepare an asset and ownership map. Identify the proposed shareholders, directors and beneficial owners. Confirm the permitted holding activity and whether the owners meet the chosen entity route’s conditions.
Follow this implementation sequence:
- Confirm the ordinary-company or Prescribed Company route.
- Check asset ownership and transfer acceptance.
- Prepare constitutional and corporate-shareholder documents.
- Confirm the registered office and service-provider requirements.
- Submit the registry application and required approvals.
- Establish genuine decision-making and records.
- Apply for banking with the funding and ownership evidence.
- Complete the approved asset transfers.
- Establish tax, accounts and renewal obligations.
DIFC registration does not authorise regulated financial services. Managing money for other people, offering investment advice or operating a fund can require a different regulatory analysis. Check the activity with DIFC and the DFSA before describing a holding company as an investment business. (D1, D2)
A holding entity must keep evidence of actual management. Directors need authority to make decisions. Keep resolutions, contracts, accounts and funding records. Do not assume that a resident nominee, a registered address or a UAE bank account settles corporate residence overseas.
Historical ESR reporting and current corporate-tax substance are different subjects. The UAE ended ESR reporting for financial years ending after 31 December 2022. That change does not remove QFZP substance or foreign management tests. (U6)
Review the entity’s accounting and audit obligations separately under DIFC rules and UAE corporate tax. QFZPs need audited financial statements. A special entity form does not override that tax requirement. (U4, U7)
Property ownership, migration of an existing entity and residence sponsorship each need their own eligibility check. Do not assume that a holding licence qualifies an owner for a Golden Visa or that an offshore entity can migrate without approvals.
When can offshore suit the purpose?
An offshore company can suit a permitted ownership arrangement where the owner does not need it to run a local operating business. Verify the chosen registry’s rules, registered-agent requirements and the receiving asset registry’s acceptance.
Do not assume foreign-source income is tax-free or that an offshore company automatically qualifies as a QFZP. Determine corporate-tax status and the applicable exemptions from the law. Confirm audit obligations for the actual tax and registry position. (U1, O1)
Which tax questions need separate advice?
UAE participation exemptions, QFZP treatment and foreign withholding tax are separate assessments. Treaty benefits depend on the treaty, residence, beneficial ownership and anti-abuse provisions. DIFC does not guarantee stronger treaty entitlement than every other UAE jurisdiction.
The shareholder’s home country can apply its own residence, company-management and anti-avoidance rules. Compare the structure after those consequences, not only after the UAE rate.
When should you reject the proposed route?
Reject a route that cannot hold the asset, cannot support the licensed activity or depends on governance that will not occur. Reconsider a holding company when its annual work exceeds the ownership benefit.
Questions owners ask
Is DIFC always the best choice?
No. Its legal framework can be relevant, but asset eligibility, administration and commercial needs decide whether it fits.
Can I avoid an audit through an offshore entity?
Do not assume so. Registry concessions and corporate-tax audit requirements are separate.
Can I move an existing offshore company to DIFC?
Check whether the existing registry and DIFC permit continuation or whether an asset transfer is required. Tax and creditor consequences differ.
