An LLC is a limited liability company, which is a legal form. A free zone is a jurisdictional setting with its own company and licensing rules. A free-zone entity can also have limited liability. The useful comparison is therefore between a specific mainland LLC and the company form offered by the chosen free zone. Compare ownership rights, liability, permitted activities and operating access. Do not assume that the word LLC means mainland only or that a free-zone entity always receives different tax treatment. (U2, L1)
Who this applies to: Owners comparing a mainland LLC proposal with a particular free-zone company proposal.
What should the comparison identify?
| Question | Mainland LLC proposal | Free-zone proposal |
|---|---|---|
| What is the exact legal form? | LLC under the applicable company rules | The specific form offered by the authority |
| What governs ownership? | Constitution, shareholder agreement and applicable law | Constitution, shareholder agreement and zone rules |
| What can the entity do? | Licensed activities and sector approvals | Licensed activities and any external permissions |
| How can shares transfer? | Applicable consent and registration rules | Applicable consent and registration rules |
| What tax applies? | Status, income and applicable reliefs | Status, income and QFZP eligibility where relevant |
Request the legal form and authority name in writing. “Free-zone company” does not identify all the rights and obligations.
Does limited liability protect the owner completely?
No. Limited liability generally separates the company’s obligations from the shareholder’s investment under the applicable law. Personal guarantees, unpaid capital obligations, misconduct and other legal grounds can create exposure.
Read the actual lender and customer terms. A structure diagram cannot cancel a guarantee. Directors also need to understand their duties. (U2)
Does a mainland LLC need a local majority shareholder?
Not as a blanket rule. Many activities permit full foreign ownership, but sector, activity and legal-form requirements remain relevant.
A general free-zone ownership statement also needs the chosen authority and activity checks. Avoid “100% ownership guaranteed for all activities” in either proposal. (U2, L1)
Which company can operate where?
A mainland LLC needs the licensed activity, premises and approvals for its operating model. A free-zone entity needs the relevant zone permissions and any approved route for external operations.
Dubai’s Resolution 11 of 2025 creates conditional external-operation routes for eligible free-zone establishments. It does not convert every free-zone company into an unrestricted mainland business. The resolution excludes financial establishments licensed in DIFC. Confirm the actual establishment and activity scope. (L2)

Does the legal form determine the tax rate?
No. Corporate-tax status and income determine the assessment. A free-zone entity needs all QFZP conditions to use the qualifying-income rate. Limited liability does not itself create an exemption.
VAT also needs its own registration and supply analysis. A free-zone company can have VAT obligations. Designated-zone treatment does not create a general exemption for services. (U1, U4, U12)
How do ownership and control affect the choice?
Identify who will own shares and which decisions need shareholder consent. Review director appointments, reserved matters, capital changes and transfer rights.
For multiple owners, do not rely on a licence certificate to resolve control. Align the constitution and shareholder agreement. If corporate shareholders will own the entity, confirm document certification and the beneficial-owner requirements.
Can you switch from a free zone to an LLC later?
Assess the actual change. It may require a new company, branch, continuation route or asset and contract transfers rather than a licence conversion. Employees, banking and tax registration can also need work.
Review the old entity’s closure or continuation requirements before committing. Do not transfer contracts or assets without the necessary consents.
When does a holding structure become relevant?
If the main objective is owning investments or several subsidiaries, a trading-company comparison may answer the wrong question. Use UAE holding-company setup and the holding-structure comparison to assess that role.
Questions owners ask
Is a free-zone company less legally formal than an LLC?
No. It has its own governing rules and ongoing obligations. Compare those rules, not the package label.
Can both entities have one shareholder?
Check the specific legal form and authority conditions. Do not assume every form has the same shareholder requirements.
Is one easier to bank?
The bank assesses ownership, activity, funding and transactions. Neither label guarantees an account.

Applicable period: Company tax statements concern the actual financial tax period. Personal and overseas positions need their own country-specific period assessment.
