Free Zone vs Mainland for a Consulting Business in Dubai: Which Fits in 2026?

Updated 21 October 2026

A free-zone company may suit a Dubai consultancy whose activity, premises and delivery model fit the chosen authority’s rules. A mainland company may suit a firm whose work requires that operating route. For mainland client-site delivery, compare a mainland licence with an available DET-authorised free-zone route. Customer location alone does not decide the answer.

A consulting licence must cover the services actually sold. Business strategy, technology implementation and regulated investment advice are different activities. Resolve that permission question before comparing costs or corporate-tax treatment.

Define the consultancy's actual service

Describe the work in terms a licensing authority can assess. Business strategy, technology implementation, engineering, legal advice and investment advice are not interchangeable activities.

Confirm the activity code and any sector approval. A general consultancy licence does not remove restrictions on regulated professional or financial services. Use the same approved description in contracts, invoices and the bank application.

Can a free zone consultancy serve mainland clients

Dubai Marina waterfront and business towers

A mainland customer does not automatically require the consultancy to be a mainland company. The licensing analysis also depends on the activity and where staff perform it. Remote delivery, occasional meetings and ongoing work at a client’s premises can raise different requirements.

Dubai Executive Council Resolution No. 11 of 2025 provides routes for free-zone establishments to conduct activities outside their free zone within Dubai. These routes require the relevant DET licence or permit and applicable approvals. The resolution also requires separate financial records for those activities. It excludes financial establishments licensed in DIFC. (Dubai Resolution 11 of 2025, Articles 2–9)

Use the current DET activity list and the free-zone authority’s approvals to test the proposed work. The Dubai resolution does not authorise every activity, and it does not establish permissions for work in another emirate.

Procurement can determine the practical choice

Ask target clients for their vendor-registration and tender conditions before incorporation. A client may require a particular licence, insurance, office presence or financial history.

Distinguish a client's procurement policy from a legal restriction. If an important buyer cannot onboard the proposed entity, resolve that issue before paying formation costs. Keep the client's written requirements in the decision file.

Use scenarios to test the choice

Illustrative scenario
A founder provides strategy reports to overseas companies from a Dubai free-zone office.
Assessment
A free-zone route may fit if the licence covers the work. Assess the actual tax treatment and foreign delivery risks.
Illustrative scenario
Consultants spend most working days at mainland client offices.
Assessment
Compare a mainland licence with any available DET-authorised free-zone route. Confirm activity and workforce conditions.
Illustrative scenario
A technology adviser also recommends investment products.
Assessment
Separate technology consulting from potentially regulated financial advice. A consultancy label does not settle permission.
Illustrative scenario
A consultancy wants public-sector contracts.
Assessment
Obtain the tender's eligibility terms before selecting the entity. Do not assume either structure qualifies.

These scenarios illustrate decisions. They are not client case studies.

Free-zone consulting does not automatically qualify for 0% tax

A free-zone consultancy cannot assume its overseas or mainland revenue qualifies for 0% corporate tax. Ordinary third-party consulting does not become a qualifying activity merely because the company is registered in a free zone. The service, customer and applicable income rules determine the analysis. (Cabinet Decision 100 of 2023; Ministerial Decision 229 of 2025)

Review QFZP status, adequate substance, transfer pricing and audited financial statements together. Services to another Free Zone Person and services to other customers can follow different qualifying-income tests. A mainland operating presence can also require a permanent-establishment analysis. (Cabinet Decision 100 of 2023; Ministerial Decision 229 of 2025)

Compare the expected result with the ordinary corporate-tax rules. Include the cost of continuing compliance. Do not choose a structure using a tax rate that the business cannot substantiate.

Keep Small Business Relief separate

A business owner reviews company records

Small Business Relief and the free-zone de minimis test are separate rules. Eligible resident persons may elect for Small Business Relief where the AED 3 million current and prior-period revenue conditions are met. QFZPs cannot elect for it. The free-zone test instead uses the lower of 5% of total revenue or AED 5 million. (FTA Small Business Relief guidance; Ministerial Decision 229 of 2025)

The Ministry of Finance confirmed that the Small Business Relief period extends to eligible tax periods ending on or before 31 December 2029. The remaining conditions and the election still apply. (Ministry of Finance Small Business Relief extension August 2026)

VAT and invoicing require their own analysis

Free-zone status does not create a general VAT exemption for consulting services. Review the place-of-supply and export-of-services conditions for each customer type. A foreign customer does not, on its own, prove that an invoice qualifies for zero-rating.

For UAE-resident businesses, mandatory VAT registration generally uses an AED 375,000 threshold for relevant taxable supplies and imports over the previous 12 months or expected in the next 30 days. The voluntary threshold is AED 187,500, including eligible expenses. Non-resident registration has separate rules. (FTA VAT registration guidance)

Show the correct legal entity and tax details on invoices where required. Keep the invoice description consistent with the licensed service and the contract.

Banking and staffing follow the actual model

Consultants discuss banking and staffing in an office

An operating consultancy should explain its service, expected customers, funding and payment countries to the bank. A founder working alone can document that model. Evidence should explain the real business rather than imply that it already has staff or completed projects.

Confirm the premises and visa capacity needed for the planned team. Review employment, immigration and any secondment requirements before deploying staff at client sites.

Questions consultants ask

Can a free-zone consultancy invoice a mainland client?

A free-zone consultancy may be able to invoice a mainland client, but the invoice alone does not establish permission to perform the work. Match the licensed service and delivery location to the relevant rules. Obtain any additional licence or permit required for that model.

No. The buyer's vendor and tender conditions still apply. Obtain those conditions before selecting the structure.

No automatic exemption follows from an overseas invoice. Analyse corporate tax and VAT separately, including the actual service and customer.

A change may require new permissions, contract transfers or a different entity. Assess foreseeable expansion before selecting the initial route.
